Intellectual Property Rights in Applications

Other than the content you own, under these Terms, Softnoesis Private Limited and/or its licensors own all the intellectual property rights and materials contained in our apps and software. You are granted a limited Trial or Paid license solely for purposes of viewing and utilizing the functionalities contained on the app.

User Restrictions

You are specifically restricted from all of the following:

• Selling, sublicensing, leasing, or commercializing any part of our applications without authorization.

Currencies & Remittances: As an international IT exporter, Softnoesis accepts multi-currency settlements (USD, EUR, GBP, AUD, CAD, INR) via authorized wire transfers, bank remittances, and international gateways.

Confidentiality & NDA: We sign bilateral Non-Disclosure Agreements (NDAs) prior to project discussions, ensuring all proprietary blueprints and algorithms remain strictly confidential.

10. Limitation of Liability

In no event shall Softnoesis Private Limited, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of our apps, website, or software deliverables, whether such liability is under contract or tort.

Softnoesis, including its officers, directors, and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this website or our digital solutions. Our aggregate liability under any client contract is capped at the amount actually paid to Softnoesis for the specific disputed milestone.

Indemnification: You hereby indemnify to the fullest extent Softnoesis Private Limited from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

Severability: If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Assignment: Softnoesis is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement: These Terms constitute the entire agreement between Softnoesis Private Limited and you in relation to your use of our apps, website, and services, superseding all prior agreements and understandings.

12. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the country India, and you submit to the non-exclusive jurisdiction of the state and local courts located in Surat, Gujarat, India for the resolution of any disputes. For international commercial engagements, institutional arbitration mechanisms may be mutually stipulated in the project contract.
