1. General No-Refund Principle

At Softnoesis Pvt. Ltd. ("Softnoesis", "we", "us", or "our"), software engineering, digital product creation, and technical consulting involve immediate and non-recoverable resource allocation, intellectual property commitment, and professional labor.

Therefore, all sales, fees, retainer payments, advance deposits, and milestone settlements are completely non-refundable. Once a payment has been made, an invoice has been cleared, or a Statement of Work (SOW) has been authorized, no refunds, reversals, or credits will be issued under any circumstances.

By hiring our services, executing an agreement, paying an invoice, or using any software or mobile application developed by Softnoesis Pvt. Ltd., you acknowledge, understand, and unequivocally agree to this Refund Policy. This policy applies alongside our Terms of Use and Privacy Statement.

2. Custom IT & Software Development Services

All custom web development, enterprise platforms, mobile applications, APIs, UI/UX designs, and technical integrations are delivered according to agreed milestones and specifications:

• Advance Deposits & Milestone Payments: All milestone fees, project initiation deposits, and progress installments paid by the client are 100% non-refundable.
• Work Cancellation by Client: In the event that a client decides to discontinue, pause, or terminate a project for any reason (including internal business pivots or change of mind), no portion of the advance deposit or payments already made will be returned.
• Delivered Milestones: Milestones that have been delivered, demonstrated, deployed to staging/production, or accepted by the client are permanently closed and non-refundable.
• Client Inaction or Delay: If a client fails to provide necessary approvals, feedback, assets, credentials, or communication for over 30 days, the project is marked complete or closed, and all paid sums remain non-refundable.

3. Dedicated Developer Retainers & Staff Augmentation

For organizations hiring dedicated full-time or part-time developers, designers, or QA engineers on monthly retainers:

• Retainer Payments: Monthly advance retainers secure dedicated technical talent and are strictly non-refundable once paid.
• Contract Cancellation: Clients may discontinue retainers for future billing cycles by providing written notice as stipulated in their contract (standard: 15 to 30 days). No refunds will be issued for the current active month or any elapsed days.
• Complimentary Replacement Guarantee: In lieu of refunds, if a client is dissatisfied with a specialist's output, velocity, or technical skills, Softnoesis will provide an alternate senior replacement developer within 5 business days at no extra onboarding charge.

4. Mobile Applications & In-App Purchases (iOS & Android)

Softnoesis develops and publishes consumer and productivity mobile applications (including BillNama, Storehouse Pro, VideoCopy, MusicMix, Gifbook, and Backup WhatsApp):

• All Mobile App Sales Are Final: Softnoesis does not issue direct cash or card refunds for any mobile applications, premium feature unlocks, in-app currency, or digital subscriptions.
• Apple App Store (iOS): All payments made on iPhone/iPad devices are processed directly by Apple Inc. Developers do not possess access to client payment information. Any billing questions must be submitted to Apple at reportaproblem.apple.com.
• Google Play Store (Android): Android purchases are managed under Google Play terms. Softnoesis does not issue manual cash refunds for processed Google Play transactions.

5. SaaS Subscriptions & Digital Marketing Services

Our SaaS platforms and digital marketing operations adhere to the same zero-refund standard:

• SaaS Products (Shakebug – shakebug.com): Subscription fees (monthly or annual) are billed in advance and are non-refundable. When you cancel a subscription, your access remains valid through the paid period, and no further automatic renewals will occur.
• SEO, SMO & Digital Marketing: Marketing retainer fees, audit charges, and setup costs are non-refundable. Third-party advertising spend paid directly to ad platforms (Google Ads, Meta, LinkedIn) is strictly between the client and those networks.
• Third-Party Infrastructure & Licenses: Fees paid for domains, hosting servers (AWS, DigitalOcean, etc.), SSL certificates, and paid third-party APIs or plugins are entirely non-refundable.

While Softnoesis does not offer monetary refunds, we are fully committed to client satisfaction and engineering excellence through our comprehensive quality assurance warranty:

• 30 to 90 Days Defect Remediation: Every bespoke software solution developed by Softnoesis includes a complimentary 30 to 90-day bug-fixing warranty period post-deployment.
• Specification Adherence: Any reported bugs, errors, or functional inconsistencies that deviate from the agreed Statement of Work (SOW) will be resolved by our engineering team at zero additional charge.
• Dedicated Project Manager: A dedicated project manager is assigned to oversee defect remediation, milestone demonstrations, and client communication throughout the warranty lifecycle.

8. Chargebacks & Payment Disputes

Clients agree to contact Softnoesis directly to resolve any concerns before initiating a chargeback or payment dispute with any bank, credit card company, or payment gateway:

• Unauthorized Chargebacks: Initiating an unauthorized chargeback or payment dispute constitutes a material breach of our service agreement.
• Service Suspension: Any ongoing development, source code access, server deployment, and technical support will be immediately terminated upon receipt of a chargeback notice.
• Legal Recourse: Softnoesis reserves the right to pursue full recovery of disputed sums along with legal and administrative fees incurred in defending fraudulent disputes.

9. Governing Law & Jurisdiction

This Refund Policy and any disputes arising out of or related to our services, payments, or agreements shall be governed exclusively by and construed in accordance with the laws of India.

Both parties irrevocably agree that the competent civil courts located in Surat, Gujarat, India shall have sole and exclusive territorial jurisdiction over any claim, suit, or legal proceeding arising out of or connected with this policy.
